• We will provide recruitment, consultation, matchmaking, or related talent services as per agreements or engagement terms.
• Project timelines, deliverables, payment structure, revisions, and responsibilities will be set out in the individual engagement or statement of work.
• We do not guarantee that a candidate will accept or remain in a position, or that a particular outcome will be achieved, unless expressly promised in writing.

6. Fees, Payment & Refunds

• All fees, payment terms, and invoicing will be agreed separately (e.g. in client contracts).
• Late payments may incur interest or suspension of services.
• All taxes, duties, and other charges are the responsibility of the client, unless otherwise stated.

7. Intellectual Property

• All content on the Site (text, logos, images, code) is owned or licensed by Strivexx.
• You may not reproduce, distribute, modify, or create derivative works without permission.
• For content you provide (e.g. job descriptions, resumes), you grant us a license to use as needed to deliver Services.

8. Confidentiality

• Each party shall treat confidential information of the other as private and not disclose it, except when required by law or with consent.
• Confidential information excludes information which is publicly known or independently developed.

9. Disclaimers & Limitation of Liability

• The Services are provided “as is” and “as available” without warranties of any kind.
• We disclaim all warranties, whether express or implied (including merchantability, fitness for a particular purpose).
• In no event shall Strivexx be liable for indirect, incidental, consequential, punitive or special damages, even if advised of possibility of damages.
• Our maximum aggregate liability will be limited to the amount you have paid us in the prior 12 months (or another cap you set).

10. Indemnification

You agree to indemnify, defend, and hold harmless Strivexx, its affiliates, officers, employees, and agents from any claims, damages, losses, or liabilities arising from your misuse of Services or breach of these Terms.

11. Termination

• We may suspend, restrict or terminate your account or access at any time, with or without notice, for breach of these Terms.
• Upon termination, all rights granted to you will cease.
• Sections surviving termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, etc.

12. Changes to Terms

We may revise these Terms from time to time. We will notify you (e.g. via email or site notice). Continued use after changes constitutes acceptance of the new Terms.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Gujarat, India.
• Any dispute arising will be resolved by courts / arbitration in Ahmedabad, Gujarat.
• If any clause is invalid or unenforceable, the rest remain in effect.
